The agreement may hopefully help to bring about one of the largest transactions concerning liquefied natural gas in the history of the industry. |

CNOOC Limited achieved an important discovery of natural gas in the eastern South China Sea. The initial assessment on the two important gas fields of Panyi 30-1 and Panyu 34-1 discovered by the company at the end of 2002 confirmed that the estimated storage of the two gas fields was about 1.5 trillion cubic feet (tcf). Itwas the first important discovery of natural gas achieved in the Pearl River Mouth Basin in South China Sea, and 100% of the equity of the two gas fields is possessed by CNOOC Limited. |

CNOOC Limited and the shareholders of Australia Northwest Shelf Natural Gas Project (NWS) signed the acquisition agreement conccerning the equity of output and storage for upstream oil field of the project, and CNOOC Limited obtained 25% of the equity of the newly established joint venture--China Liquefied Natural Gas Joint Venture within NWS project, and gained about 5.3 equity with regard to the specific production license, ownership of lease and exploration license of NWS project. CNOOC Limited had to pay US$ 348 million for the acquisition. Meanwhile, CNOOC Limited will also enjoy the participation right for the exploration beyond known reserves in the future. |
